("DAVICTUS" OR "THE COMPANY")

Delay in publication of accounts and continued temporary suspension of trading

daVictus plc, (LSE: DVT), announces that, further to its announcement on 30 April, 2025, the annual report and accounts for the year ended 31 December 2024 (the "2024 Annual Report") is expected to be published before 30 November 2025.

The Company's previous auditors Johnsons Financial Management Limited (trading as Johnsons Chartered Accountants), who were originally preparing the annual report and accounts have resigned. The statement of circumstances given by them pursuant to Article 113B(9)(b) of the Companies (Jersey) Law 1991 was "unforeseen circumstances". The Company has since appointed PKF Littlejohn LLP as its new auditors. They have been making good progress to finalize the audit of the financial statements for the year ended 31 December 2024. Given the change in auditors, the Company requires further time to finalize these accounts and for the auditor to complete its procedures with respect thereto but it expects to publish the 2024 Annual Report by 30 November 2025, latest.

The Company further notes that its interim financial statement for the period ended 30 June 2025 were due to be published by 30 September 2025 and this has also been delayed due to the change in auditors. The Company will prepare the interims as soon as possible following the publication of the 2024 Annual Report.

As a result of the delay in publishing the 2024 Annual Report, the Company's shares will continue be temporarily suspended. Following the publication of the 2024 Annual Report and the interim financial statement,  the Company will make an application for the suspension to be lifted.
