Scheme Effective, Fundraising Admission, Director Shareholdings and Total Voting Rights
Access Intelligence Plc, (AIM: ACC) the technology innovator delivering Software-as-a-Service (SaaS) solutions for the global marketing and communications industries, is pleased to announce that the Supreme Court of New South Wales has today made orders approving the scheme of arrangement (the "Orders") by which Access Intelligence will acquire all of the ordinary shares in Isentia it does not already own.
Following approval by the Supreme Court of New South Wales, a copy of the Orders has been lodged with the Australian Securities and Investments Commission and the Scheme has become legally effective. Implementation and completion of the Acquisition is expected on 1 September 2021.
Fundraising Admission
In line with the timing of the Australian court proceedings, admission and dealings of the 41,666,667 Fundraising Shares will commence at 8.00 a.m. today. Re-Admission of the Enlarged Group is expected to occur on 8.00 a.m. on 2 September 2021.
Director Shareholdings
The Participating Directors subscribed for an aggregate 62,499 Placing Shares and therefore their resultant holdings of Ordinary Shares with voting rights following Fundraising Admission is as set out below.

Following Fundraising Admission, the total number of Ordinary Shares in issue will be 130,524,386, including 2,966,666 held in treasury. Accordingly, the total number of Ordinary Shares in the Company with voting rights on Fundraising Admission will be 127,557,720. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the applicable legal and regulatory requirements.
