Special Meeting regarding Electronic Communications
Update regarding video conference arrangements
This announcement provides an update to the arrangements for the Company's special meeting to be held at the offices of Fieldfisher LLP, 9th Floor, Riverbank House, 2 Swan Lane, London EC4R 3TT, United Kingdom on 31 March 2022 at 1.30 p.m. (UK time) (the "Special Meeting").
The purpose of the Special Meeting is to ask shareholders to authorise the Company to communicate with shareholders electronically, including making available the Company's annual report and accounts and half-yearly report available on its website.
The circular (the "Circular") which gives the background and reasons for the Special Meeting and which contains the notice convening the Special Meeting can be found on the Company's website here: https://investors.devolverdigital.com/.
As stated in the Circular, in order to facilitate attendance at the Special Meeting, the Company will be permitting shareholders to attend virtually by video conference, as is permitted by the Company's Bylaws and the General Corporation Law of the State of Delaware.
Accordingly, shareholders who are entitled to attend the Special Meeting, being those persons entered into the register of members of the Company at 6.00 p.m. on 15 March 2022, can request log- in details for the video conference facility by emailing shareholders@devolverdigital.com, including details of their name and shareholding by 10.00 a.m. on 31 March 2022.
