Transaction in Own Shares
The Board of Trian Investors 1 Limited announces that, in accordance with the authority granted by shareholders at the Company's Annual General Meeting on 14 June 2021, on 20 June 2022 the Company purchased 200,000 of its own ordinary shares ("Ordinary Shares") at a price of 116.5p per share. These shares will be held as treasury shares. This purchase was made pursuant to the £3.7 million ($5 million) share repurchase that the Company announced on 30 November 2021 (the "November Repurchase") after stating that it expected to receive excess cash reserves from Ferguson plc dividends.
Following this transaction, the total number of Ordinary Shares held as treasury shares by the Company is 19,566,913. The total number of Ordinary Shares in issue (excluding shares held as treasury shares) is 251,019,064. Going forward, the Company may purchase an additional £473,500 of Ordinary Shares pursuant to the November Repurchase
