Notice of AGM, posting of Shareholder Circular and Annual Report and Accounts
GRC International Group plc (AIM: GRC), the international governance, risk management and compliance company whose main business is cyber defence-in-depth, announces that its annual general meeting ("AGM") will be held at the offices of Mills & Reeve LLP at 24 King William Street, London EC4R 9AT on Tuesday 27 September 2022 at 11.00 a.m.
The notice of AGM (the "Circular"), the proxy form and the Group's annual report and accounts for the year ended 31 March 2022 ("Annual Report") have today been posted to shareholders.
The Circular contains details of a resolution relating to the proposed grant of share options to the Group's Finance Director, pursuant to which, the Group is seeking approval of a waiver of the mandatory offer provisions set out in Rule 9 of the Takeover Code, to be put to Independent Shareholders (as defined in the Circular) at the AGM.
