RECOMMENDED CASH ACQUISITION

to be effected by way of a scheme of arrangement under Part 26 of the Companies Act 2006
SCHEME BECOMES EFFECTIVE
On 31 March 2022, the directors of Brewin Dolphin Holdings PLC ("Brewin Dolphin") and RBC Wealth Management (Jersey) Holdings Limited ("Bidco"), an indirect wholly-owned subsidiary of Royal Bank of Canada ("RBC"), announced that they had reached agreement on the terms of a recommended acquisition by Bidco of the entire issued and to be issued ordinary share capital of Brewin Dolphin (the "Acquisition"), which is to be effected by way of a court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006 (the "Scheme"). The scheme document in connection with the Acquisition was published on 22 April 2022 (the "Scheme Document"). Capitalised terms used but not otherwise defined in this announcement have the meanings given to them in the Scheme Document.
On 23 September 2022, Brewin Dolphin announced that the High Court of Justice of England and Wales had sanctioned the Scheme at the Sanction Hearing on 23 September 2022 (the "Court Sanction Date").
Brewin Dolphin and Bidco are pleased to announce that, following the delivery of a copy of the Court Order to the Registrar of Companies today, the Scheme has now become effective in accordance with its terms and the entire issued and to be issued ordinary share capital of Brewin Dolphin is now owned by Bidco.
Settlement of consideration
Scheme Shareholders on Brewin Dolphin's register of members at the Scheme Record Time, being 6.00 p.m. (London time) on 26 September 2022 will be entitled to receive 515 pence in cash for each Scheme Share held. Settlement of the consideration to which any Scheme Shareholder is entitled will be effected by despatch of a cheque or electronic payment to the Scheme Shareholder's specified account (for Scheme Shareholders holding Scheme Shares in certificated form) or the crediting of CREST accounts (for Scheme Shareholders holding Scheme Shares in uncertificated form) as soon as practicable and in any event not later than 14 days after the Effective Date, as set out in the Scheme Document.
In the case of Scheme Shares transferred to satisfy the exercise of options or vesting of awards under the Share Plans after the making of the Court Order on 23 September 2022 and prior to the Scheme Record Time, being 6.00 p.m. (London time) on 26 September 2022, settlement of consideration to which any employee or director of the Brewin Dolphin Group is due in respect of those Scheme Shares will be effected by payment through payroll reasonably promptly (but is not required to be effected within 14 days of the Effective Date) subject to the deduction of any applicable exercise price, income taxes and social security contributions.
Suspension and cancellation of listing and trading of Brewin Dolphin Shares
The listing of Brewin Dolphin Shares on the premium segment of the Official List of the Financial Conduct Authority and the admission to trading of Brewin Dolphin Shares on the Main Market of the London Stock Exchange for listed securities were suspended with effect from around 7.30 a.m. on 27 September 2022.
Applications have been made to the Financial Conduct Authority ("FCA") and the London Stock Exchange ("LSE") in relation to the de-listing of Brewin Dolphin Shares from the premium listing segment of the Official List of the FCA and the cancellation of the admission to trading of Brewin Dolphin Shares on the Main Market of the LSE for listed securities, which is expected to take effect by 8.00 a.m. on 28 September 2022. A further announcement will be made when admission to listing and admission to trading of Brewin Dolphin Shares have each been cancelled.
Board changes
Brewin Dolphin announces that all of the directors have resigned from the Brewin Dolphin board of directors (the "Board") with effect from today, other than Robin Beer and Siobhan Boylan who will remain on the Board. In addition, David Thomas, Peter Dixon, Ayesha Patel and David Bailey have been nominated by Bidco and appointed to the Board with effect from today.
Dealing disclosures
Brewin Dolphin is no longer in an "Offer Period" as defined in the City Code on Takeovers and Mergers (the "Takeover Code") and accordingly the dealing disclosure requirements previously notified to investors no longer apply.
