Results of Court Meeting and General Meeting

 

On 8 February 2023, the boards of AdEPT and Bidco announced that they had reached agreement on the terms of a recommended all cash acquisition pursuant to which Bidco will acquire the entire issued and to be issued share capital of AdEPT (the "Acquisition"). The Acquisition is to be effected by means of a Court-sanctioned scheme of arrangement between AdEPT and relevant AdEPT Shareholders under Part 26 of the Companies Act (the "Scheme").

On 22 February 2023, AdEPT published and posted a circular in relation to the Acquisition (the "Scheme Document") as part of which Ian Fishwick, Chairman of AdEPT, wrote to AdEPT Shareholders on behalf of the AdEPT Board to set out, amongst other things, the background to, the terms of, and the reasons for the AdEPT Board recommending, the Acquisition. The Scheme Document also contained, amongst other things, notices of the Court Meeting and General Meeting.

Capitalised terms used in this announcement shall, unless otherwise defined, have the meanings set out in Part Eight of the Scheme Document.

The AdEPT Board is pleased to announce that at the Court Meeting and the General Meeting, each held earlier today in connection with the Acquisition:

·       the requisite majority of Scheme Shareholders voted in favour of the resolution to approve the Scheme at the Court Meeting; and

·       the requisite majority of AdEPT Shareholders voted to pass the AdEPT Resolution at the General Meeting to approve the implementation of the Scheme.

The total number of AdEPT Shares in issue at the Voting Record Time was 25,029,957. No AdEPT Shares were held in treasury. Consequently, the total voting rights in AdEPT at the Voting Record Time were 25,029,957.

Voting results of the Court Meeting

At the Court Meeting, a majority in number of Scheme Shareholders who voted (either in person or by proxy), representing 99.95 per cent. by value of those Scheme Shares voted, voted in favour of the resolution to approve the Scheme.

The resolution proposed at the Court Meeting was passed on a poll vote by Scheme Shareholders. Scheme Shareholders were entitled to one vote per Scheme Share held at the Voting Record Time at the Court Meeting.

Voting results of the General Meeting

At the General Meeting, the AdEPT Resolution to authorise the implementation of the Scheme was duly passed on a poll vote by AdEPT Shareholders. AdEPT Shareholders were entitled to one vote per AdEPT Share held at the Voting Record Time at the General Meeting.

Next steps and timetable

The Acquisition remains subject to the satisfaction or (where capable of being waived) waiver of the other Conditions to the Acquisition as set out in Part Three of the Scheme Document (including the NS&I Act Condition and the Court sanctioning the Scheme at the Court Hearing).

The Court Hearing is expected to take place on 5 April 2023, with the Scheme Record Time occurring at 6.00 p.m. on the following Business Day. Accordingly, the last day of dealings in, and for registration of transfers of, AdEPT Shares will be 6 April 2023.

Subject to the Court approving the Scheme and the Court Order being duly delivered to the Registrar of Companies, it is anticipated that the Scheme will become Effective on 11 April 2023. Accordingly, it is intended that dealings in AdEPT Shares will be suspended with effect from 7.30 a.m. on 11 April 2023.

If the Court sanctions the Scheme, it is intended that cancellation of the admission to trading of AdEPT Shares on AIM will take effect from 7.00 a.m. on 12 April 2023.

If the Scheme becomes Effective on 11 April 2023, the last date for payment of the Consideration to Scheme Shareholders will be 25 April 2023.

The Long Stop Date for the Scheme is 11.59 p.m. on 26 June 2023.

These dates are indicative only and will depend, amongst other things, on the date on which the Court sanctions the Scheme. If the expected dates change, AdEPT will give notice of the changes in an announcement through a Regulatory Information Service.

Additional information for US investors in AdEPT

AdEPT Shareholders in the United States should note that the Acquisition relates to the shares of an English company with a listing on AIM and is proposed to be effected by means of a scheme of arrangement under English law. This Announcement, the Scheme Document and certain other documents relating to the Acquisition have been or will be prepared in accordance with English law, the Code and UK disclosure requirements, format and style, all of which differ from those in the United States. A transaction effected by means of a scheme of arrangement is not subject to the tender offer rules or the proxy solicitation rules under the US Exchange Act. Accordingly, the Acquisition is subject to the disclosure requirements of and practices applicable in the United Kingdom to schemes of arrangement, which differ from the disclosure requirements of the United States tender offer and proxy solicitation rules. Disclosure Requirements of the Code

Under Rule 8.3(a) of the Code, any person who is interested in 1 per cent. or more of any class of relevant securities of an offeree company or of any securities exchange offeror (being any offeror other than an offeror in respect of which it has been announced that its offer is, or is likely to be, solely in cash) must make an Opening Position Disclosure following the commencement of the offer period and, if later, following the announcement in which any securities exchange offeror is first identified. An Opening Position Disclosure must contain details of the person's interests and short positions in, and rights to subscribe for, any relevant securities of each of (i) the offeree company and (ii) any securities exchange offeror(s).
