Notice of General Meeting

 

10 May 2023: Solgenics Limited ("Solgenics" or the "Company") (AIM:SGN), the African power development company focused on renewable energy solutions, announces that, further to the announcement on 3 May 2023, it will today publish and post a Shareholder circular (the "Circular") containing, amongst other things, further details of the proposed cancellation of the Company's ordinary shares from admission to trading on AIM and the associated resolutions to be proposed at a general meeting of the Company (the "General Meeting").  The General Meeting will be held at the offices of Simmons & Simmons LLP at CityPoint, One Ropemaker Street, London, EC2Y 9SS at 10.00 a.m. on 26 May 2023.

 

At the General Meeting, the Company is seeking shareholder approval to cancel the admission of Ordinary Shares to trading on AIM and if the cancellation is approved to amend the Company's Articles of Association.

About Solgenics

Solgenics is an African renewable energy development company focused on the development of a 300MW solar PV plus BESS renewable energy in the Tete Province in northern Mozambique (the "Tete Solar Project").

On 3 May 2023, Solgenics announced that it will shortly be posting a circular to shareholders (in connection with a proposal for the cancellation of admission of the ordinary shares of no par value in the Company ("Ordinary Shares") to trading on AIM (the "Cancellation"), pursuant to Rule 41 of the AIM Rules for Companies. Accordingly, if the resolution to approve the cancellation is approved by shareholders, the last day of dealings in the Ordinary Shares on AIM is expected to be 6 June 2023, and the Cancellation is expected to become effective at 7.00 a.m. on 7 June 2023.
