Placing and Total Voting Rights
Placing
Trafalgar is pleased to announce that it has conditionally raised gross proceeds of £125,000 ("Placing Amount") by means of a placing of 125,000,000 new Ordinary Shares ("Placing Shares") at a price of 0.1 pence (the "Placing Price") per share (the "Placing").
The Placing has been conducted by the Company's Broker, Peterhouse Capital Limited, who have received legally binding commitments from Placees to subscribe for the entirety of the Placing Shares. Receipt of the proceeds of the Placing Amount and the settlement date of the Placing Shares is expected to be on or around 12 September 2023.
The funds raised will provide the Company with additional working capital.
Application will be made for admission of the Placing Shares to trading on AIM ("Admission"). It is expected that Admission will occur on or around 12 September 2023.
Total Voting Rights
On Admission the Company's issued share capital will consist of 400,852,371 ordinary shares of 0.1p each, with one voting right each. The Company does not hold any shares in treasury. Therefore the total number of ordinary shares and voting rights in the Company will be 400,852,371. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
