Results of the Extraordinary General Meeting ("EGM") and Company Update
Results of EGM
Further to the announcement made on the 7 June 2024, the Board of NB Global Monthly Income Fund Limited, is pleased to announce that at the EGM of the Company held earlier today, all of the proposed resolutions were approved by shareholders.
The number of shares voted in person or by proxy on the resolutions, of which resolutions 1-2 were proposed as special resolutions, resolution 3 was proposed as an extraordinary resolution, and resolutions 4 and 5 were proposed as ordinary resolutions, were as follows:
1. THAT the Company be voluntarily wound up
3,029,456 votes were in favour of the resolution, including discretionary votes (99.87% of votes cast) and 4,068 (0.13%) votes were against. 169 votes were withheld.
2. THAT if resolutions 1, 3 and 4 are passed, the Joint Liquidators be authorised to transfer Shareholder distributions less than £10.00 to charity.
3,018,352 votes were in favour of the resolution, including discretionary votes (99.56% of votes cast) and 13,313 votes were against (0.44% of votes cast). 2,028 votes were withheld.
3. THAT if resolution 1 is passed, the Joint Liquidators will be given authority in Accordance with the Articles to divide amongst the Shareholders entitled to the same, any part of the assets of the Company.
3,027,811 votes were in favour of the resolution, including discretionary votes (99.87% of votes cast) and 4,075 votes were against (0.13% of votes cast). 1,807 votes were withheld.
4. THAT if resolution 1 is passed that Matthew Wright and Sophie Smith of Leonard Curtis C.I. Limited be appointed as Joint Liquidators of the Company and be authorised to act jointly and severally in the liquidation, with fees incurred, paid as an expense and Joint Liquidators remuneration to be drawn from the Company's assets.
3,029,420 votes were in favour of the resolution, including discretionary votes (99.87% of votes cast) and 4,066 votes were against (0.13% of votes cast). 207 votes were withheld.
5. THAT the financial statements for the year ended 31 December 2023 be hereby received and considered.
3,032,199 votes were in favour of the resolution, including discretionary votes (99.96% of votes cast) and 1,325 votes were against (0.04% of votes cast). 169 votes were withheld
Voluntary Liquidation
The Shareholders have today passed both the requisite ordinary and special resolutions in order to place the Company into voluntary liquidation in accordance with Section 391 (1)(b) of the Companies (Guernsey) Law 2008.
The appointed joint liquidators are Matthew Wright and Sophie Smith of Leonard Curtis C.I. Limited of Les Vardes House, La Charroterie, St Peter Port, Guernsey, GY1 1EL (together "the Joint Liquidators") for the purposes of winding up the Company's affairs.
Suspension and Cancellation of Reclassified Shares
The Company's Shares were suspended from listing on the Official List of the Financial Conduct Authority and from trading on the London Stock Exchange at 7.30 a.m. this morning, 1 July 2024, in anticipation of the General Meeting.
The Company, through its advisers, has notified the Financial Conduct Authority and the London Stock Exchange of the Company's intention to cancel the Company's admission of the Shares to listing and trading at 8:00 a.m. on 2 July 2024.
