NOTIFICATION OF SHARE BUYBACK PROGRAMME
Further to the Company's announcement on 22 July 2024, the Company announces that it will today commence a programme to purchase its ordinary shares of 5 pence each up to a maximum consideration of £140 million (the "Share Buyback Programme"). The sole purpose of the Share Buyback Programme is to reduce the Company's share capital. To the extent permitted by law, ordinary shares purchased under the Share Buyback Programme will be cancelled.
For the purpose of the Share Buyback Programme, the Company has entered into an instruction to Morgan Stanley & Co. International Plc ("Morgan Stanley") in relation to the purchase by Morgan Stanley, acting as principal, of ordinary shares and the simultaneous on-sale of such ordinary shares by Morgan Stanley to the Company. The Share Buyback Programme will commence on 16 October 2024 and will end no later than 16 October 2026.
Any purchase of ordinary shares under the Share Buyback Programme will be executed in accordance with the relevant regulations (including but not limited to the UK Listing Rules) and the Company's general authority to make market purchases of ordinary shares. The Company will announce any market repurchase of ordinary shares no later than 7.30 a.m. (UK Time) on the business day following the calendar day on which the repurchase occurs.
