Withdrawal of Two AGM Resolutions
The Board of JPMorgan Emerging Europe, Middle East & Africa Securities plc (JEMA), announces that it has decided to withdraw Resolutions 9. and 10. from the Agenda of the Company's Annual General Meeting ("AGM"), to be held at 60 Victoria Embankment, London EC4Y 0JP on 7th March 2025 at 2.00p.m.
Resolution 9. and Resolution 10. proposed to authorise the Company's Directors to allot new shares and disapply preemption rights respectively. The Board proposed these two resolutions as they considered that the authorities would have provided flexibility that were in the interests of the Company. Both resolutions have historically been included in the Company's AGM and approved with significant votes in favour, although the authorities provided to the Directors have never been previously exercised. However, some shareholders have expressed concerns about Resolutions 9. and 10. proposed at the Company's 7th March 2025 AGM. Although the Board have reiterated to the shareholders expressing concern that there are no plans to allot new shares, given the concerns of some shareholders which were also reflected in the figures for the provisional proxy votes received ahead of the AGM, the Board have decided to withdraw Resolutions 9. and 10. from the Company's 7th March 2025 AGM.
The above decision does not affect the other resolutions proposed in the Notice of the 7th March 2025 AGM and the meeting will proceed as previously notified.
