Board Changes and Director Declaration

The Board of the Company announces that Graeme Ross has retired from his position as a Non-Executive Director of the Company and Chair of the Audit Committee with effect from 31 March 2025. The Board would like to express its sincere thanks to Graeme for his contribution to the Board and as Chair of the Audit Committee.

The Board of the Company is also pleased to announce that Helen Green has been appointed as a Non-Executive Director and Chair of the Audit Committee with effect from 1 April 2025.

Helen is a Chartered Accountant and has been employed by Saffery, a UK top 20 firm of Chartered Accountants, since 1984. She qualified as a Chartered Accountant in 1988 and became a partner in the London office in 1998. Since 2000 she has been based in the Guernsey office where she is a Director.

Helen previously served as Chair of CQS Natural Resources Growth and Income PLC ("CQS Natural Resources"), a position from which she retired on 10 December 2024. The Company and CQS Natural Resources have both appointed Manulife | CQS Investment Management as their Investment Manager. The Board of Directors considers Helen to be independent on appointment per the AIC Code of Corporate Governance.

Directors' Declarations Pursuant to Rule 6.4.8R of the UK Listing Rules

Helen is currently a Director of the below public companies:

·    Achilles Investment Company Limited;

·    JPMorgan Global Core Real Assets Limited; and

·    Landore Resources Limited.

Helen is also currently a director of abrdn China Investment Company Limited ("abrdn China"), whose shares were cancelled from admission to trading on London Stock Exchange on 14 March 2024. abdrn China is being dissolved by way of members' voluntary liquidation.

Within the last five years, Helen has been but is no longer a Director of the below public companies:

·    Acorn Income Fund Limited;

·    CQS Natural Resources Growth and Income PLC; and

·    UK Mortgages Ltd.

There are no further disclosures required under Rule 6.4.8R of the UK Listing Rules in respect of Helen Green.
