Announcement on Resignation of Director
I. Basic Information on Resignation of Director
The Board of Directors of SDIC Power Holdings Co., Ltd. (hereinafter referred to as the "Company") recently received a resignation letter from Mr. Zhang Lei, a director of the Company. Due to work adjustments, Mr. Zhang Lei resigned from his positions as director, vice chairman, member of the Strategy Committee of the Board of Directors, and member of the Committee on Environment, Society and Governance of the Company. He confirmed that he has no disagreement with the Board of Directors of the Company and that there is no need to bring any matters to the attention of the shareholders and creditors of the Company.
II. Impact of the Resignation on the Company
The resignation of Mr. Zhang Lei takes effect as of the date the resignation letter is received by the Board of Directors. Mr. Zhang Lei has completed the handover of his duties in accordance with the relevant regulations of the Company, and there are no unfulfilled public commitments. His resignation will not cause the number of board members to fall below the statutory minimum quorum, and will not affect the normal operation of the Board of Directors. The Company will complete the supplementary election of directors as soon as possible in accordance with the Company Law, the Articles of Association and relevant regulations.
The Board of Directors recognizes the work done by Mr. Zhang Lei during his tenure, highly commends his contributions to the Company's development over the years, and expresses sincere gratitude to him.
