Exercise of Options, Director / PDMR Dealing & Total Voting Rights
Nichols plc, the diversified soft drinks Group, announces that on 28 May 2025 share options ("Share Options") were exercised over, in aggregate, 39,206 ordinary shares of 10 pence each in the Company ("Ordinary Shares") under the Company's Hybrid Incentive Plan at an exercise price of nil pence per Ordinary Share. To satisfy the exercise of Share Options, 39,206 Ordinary Shares have been transferred out of treasury.
Following the exercise of Share Options, certain Directors and Employees of the Company sold Ordinary Shares in order to satisfy tax liabilities resulting from the exercise of Share Options. Details of those Persons Discharging Managerial Responsibilities ("PDMRs") who exercised Share Options and subsequently sold Ordinary Shares are as follows:

** Ordinary Shares sold by Sarah Caddy were used to satisfy tax liabilities and for personal reasons.
Total Voting Rights
The issued share capital of the Company consists of 36,968,772 Ordinary Shares of which 399,204 are held in Treasury. Therefore, the total number of Ordinary Shares carrying voting rights in the Company is 36,569,568. This figure of 36,569,568 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest, or a change to their interest, in the Company under the Disclosure Guidance and Transparency Rules.
