Late Filing of Annual Accounts
On 4 April 2025, Minoan announced that it was unable to meet the six-month deadline of 30 April 2025 for the filing of its annual report and accounts for the fiscal year ended 31 October 2024.
The Company did not request a filing extension from Companies House before said deadline lapsed.
On 21 May 2025, Minoan was granted a deferment of 28 days by Companies House giving the Company until 18 June 2025 to file the outstanding accounts.
On 29 May 2025, Companies House rejected the request of the Company for a further filing extension. As a result, should the deadline of 18 June 2025 pass without the annual report and accounts being filed, which the Directors consider probable, a final warning letter from Companies House would follow allowing a further 28 days from the date of issue for the accounts to be filed. Failing to meet this deadline would result in a breach of the Companies Act 2006.
The Company has already incurred a civil late filing penalty. The penalty for companies that fail to meet the deadline to publish their accounts could also include criminal proceedings against the Directors by Companies House.
