Further Issue of Shares in relation to the Acquisition of Global Photonics
and
Total Voting Rights
Gooch & Housego PLC (AIM: GHH), the specialist manufacturer of optical components & systems, announces that further to its announcement on 18 June 2025 regarding the completion of the acquisition of U.S.-based Global Photonics, the Company has issued a further 84,477 new ordinary shares of 20 pence each in the capital of the Company ("Ordinary Shares") as the final consideration payment in relation to the acquisition.
Application has been made to the London Stock Exchange for these new Ordinary Shares to be admitted to trading on AIM ("Admission"). Admission is expected to become effective and dealings in the new Ordinary Shares are expected to commence at 8.00 a.m. on 13 October 2025. These new Ordinary Shares rank pari passu with the existing Ordinary Shares of the Company.
Following the issue of these new Ordinary Shares, the Company's issued share capital will consist of 27,199,510 Ordinary Shares, each with one voting right. The Company does not hold any ordinary shares in treasury. Therefore, the total number of voting rights in the Company will be 27,199,510. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company.
