NOTICE TO NOTEHOLDERS

 

NOTICE IS HEREBY GIVEN that the Issuer will redeem all the Notes and Certificates at their then Principal Amount Outstanding together with accrued (and unpaid) interest (other than the Class X Notes, the Class R Notes and the Class Z Notes, which shall be redeemed in an amount equal to funds available to be applied in accordance with the Post-Enforcement Payments Priorities) on 24 October 2025, pursuant to Condition 9.4 (Mandatory Redemption pursuant to the exercise of the Portfolio Purchase Option) of the Notes and Clause 8.2 (Mandatory Redemption of the VRR Loan Note) of the VRR Loan Note Agreement.

Capitalised terms used but not otherwise defined in this notice have the meanings given to them in Schedule 1 (Master Definitions Schedule) of the incorporated terms memorandum dated 15 November 2022 as amended from time to time relating, amongst others, to the Notes entered into between, amongst others, the Issuer, the Trustee, the Cash Manager and the Servicer (the Incorporated Terms Memorandum).
